RecoBuddy Driver & Provider Terms and Conditions

Last Updated: 30 September 2026

1. Introduction

These Driver & Provider Terms and Conditions (“Provider Terms”) govern the use of the RecoBuddy platform by drivers, vehicle transport providers, recovery operators, transport businesses and other persons or businesses offering vehicle transport, vehicle recovery or related services through RecoBuddy.

These Provider Terms form a legally binding agreement between you and RecoBuddy Ltd (“RecoBuddy”, “we”, “us” or “our”).

By registering for a Provider account, submitting documentation, submitting a quote, accepting or performing a booking, receiving a payment or otherwise using RecoBuddy as a Provider, you agree to these Provider Terms.

These Provider Terms should be read together with RecoBuddy’s:

  • Terms of Use;

  • Commission & Payment Terms;

  • Privacy Policy;

  • Cancellation Policy;

  • Refund Policy; and

  • any additional terms, policies or requirements displayed through the RecoBuddy website, mobile application or Provider account.

Where there is a conflict concerning commissions, payments, payouts, refunds, chargebacks or payment processing, the Commission & Payment Terms will take priority for that issue.

2. About RecoBuddy

RecoBuddy Ltd is a company registered in England and Wales.

Company number: 17033260
Registered office: 4th Floor, Silverstream House, 45 Fitzroy Street, Fitzrovia, London, W1T 6EB
Website: www.recobuddy.co.uk
Email: admin@recobuddy.co.uk
ICO registration number: ZC151461

RecoBuddy operates a technology marketplace connecting individuals and businesses requiring vehicle transport, vehicle recovery and related vehicle movement services with independent Providers.

3. RecoBuddy Is a Marketplace

RecoBuddy provides the technology through which customers and businesses can:

  • post vehicle transport or recovery jobs;

  • receive quotes from Providers;

  • compare Providers and prices;

  • choose a Provider;

  • communicate about a booking;

  • make payments;

  • track jobs where available;

  • access booking records; and

  • manage vehicle movements.

RecoBuddy does not ordinarily perform the underlying transport or recovery service.

The Provider selected by the customer is responsible for performing the service.

RecoBuddy does not guarantee that Providers will receive jobs, quotes will be accepted, particular volumes of work will be available, or particular earnings will be achieved.

4. Independent Providers

Providers use RecoBuddy as independent businesses or self-employed service providers, unless expressly agreed otherwise in writing.

Providers generally:

  • decide whether to use RecoBuddy;

  • decide which jobs they wish to quote for;

  • are not required to accept any minimum amount of work;

  • set their own quote prices;

  • determine their own availability;

  • provide their own vehicles and equipment; and

  • are responsible for their own business costs and legal obligations.

RecoBuddy does not guarantee work or require Providers to work particular hours.

Nothing in these Provider Terms creates a partnership, joint venture or general agency relationship between a Provider and RecoBuddy.

Nothing in these Provider Terms determines a person’s employment or tax status where applicable law determines otherwise. Providers are responsible for obtaining appropriate professional advice regarding their own status and obligations.

5. Eligibility

To operate as a Provider through RecoBuddy, you must:

  • be at least 18 years old;

  • have legal authority to work or operate your business as applicable;

  • hold the appropriate driving entitlement for the vehicles you operate;

  • maintain all licences and permissions required for your operation;

  • operate suitable and legally compliant vehicles and equipment;

  • maintain appropriate insurance;

  • satisfy RecoBuddy’s verification requirements;

  • provide accurate account and business information; and

  • be legally capable of entering into contracts.

Providers must not use RecoBuddy to offer services they are not legally, professionally or operationally capable of providing.

6. Provider Verification

RecoBuddy may require Providers to complete verification before they are permitted to quote for or perform jobs.

Verification may include:

  • identity information;

  • driving licence;

  • address information;

  • business details;

  • Companies House details where relevant;

  • V5C or vehicle documentation;

  • MOT information;

  • vehicle photographs;

  • commercial motor insurance;

  • Goods in Transit or carrier liability insurance;

  • Public Liability insurance;

  • operator licence information where applicable;

  • payment account verification;

  • VAT details where applicable;

  • driving or operating entitlement; and

  • any other documentation reasonably required by RecoBuddy.

Requirements may differ according to vehicle type, operation type, job type or Provider circumstances.

RecoBuddy may use third parties to assist with verification.

7. Meaning of “Verified”

Where RecoBuddy describes a Provider as “verified”, “approved”, “checked” or similar, this means that the Provider has satisfied the verification requirements RecoBuddy applied to that Provider at that time.

Verification does not mean that RecoBuddy:

  • employs the Provider;

  • guarantees the Provider’s conduct;

  • guarantees every document will remain valid;

  • provides the Provider’s insurance;

  • guarantees the quality of a Provider’s services; or

  • assumes responsibility for the Provider’s transport or recovery activities.

Providers remain responsible for ensuring all information and documentation remain valid and accurate.

8. Keeping Documents Up to Date

Providers must keep all required documentation current.

You must promptly update RecoBuddy if:

  • insurance expires, changes or is cancelled;

  • your driving entitlement changes;

  • an operator licence expires, is suspended or changes;

  • your vehicle changes;

  • your business details change;

  • your VAT status changes;

  • your payment details change; or

  • any circumstance arises that could affect your eligibility to perform jobs.

RecoBuddy may request renewed documentation at any time.

RecoBuddy may restrict quoting, bookings or payouts where required information has expired, cannot be verified or raises a compliance concern.

9. Insurance

Providers are responsible for maintaining all insurance legally required for their operation and all insurance required under RecoBuddy’s current Provider verification standards.

Depending on the Provider and services offered, this may include:

  • appropriate commercial motor insurance;

  • Goods in Transit or carrier liability insurance suitable for transporting customers’ vehicles;

  • Public Liability insurance;

  • Employers’ Liability insurance where legally applicable; and

  • any other specialist cover relevant to the Provider’s activities.

Where Goods in Transit, carrier liability or similar cover is required, the Provider is responsible for ensuring the policy actually covers the type and value of vehicles being transported and the activities being performed.

The existence of an insurance certificate does not transfer responsibility for checking the scope and adequacy of cover to RecoBuddy.

RecoBuddy does not provide insurance for Providers.

10. Operator Licensing and Regulatory Compliance

Providers are responsible for determining whether their operation requires a goods vehicle operator’s licence or any other regulatory authorisation.

This may depend on factors including:

  • vehicle weight;

  • trailer weight;

  • combined vehicle and trailer weight;

  • nature of the service;

  • whether goods are carried for hire or reward;

  • whether the operation constitutes recovery;

  • whether transport is domestic or international; and

  • any applicable exemption.

Where an operator’s licence or other authorisation is required, the Provider must hold the correct licence before performing the relevant service.

Providers must also comply with any applicable requirements relating to:

  • transport managers;

  • drivers’ hours;

  • tachographs;

  • vehicle maintenance;

  • operating centres;

  • load security;

  • driver CPC;

  • towing;

  • roadworthiness; and

  • other transport legislation.

RecoBuddy does not determine a Provider’s operator-licensing obligations on their behalf.

11. Vehicles, Trailers and Equipment

Providers must ensure all vehicles, trailers and equipment used for RecoBuddy jobs are:

  • legally permitted for the intended use;

  • roadworthy;

  • properly maintained;

  • appropriately taxed where required;

  • appropriately insured;

  • suitable for the vehicle being moved;

  • within applicable weight and load limits; and

  • operated safely.

Providers are responsible for checking matters including:

  • MAM or GVW;

  • permitted payload;

  • gross train weight;

  • towing capacity;

  • trailer limits;

  • axle weights;

  • load distribution; and

  • driving licence entitlement.

A Provider must not perform a job where doing so would overload a vehicle or trailer or otherwise breach applicable vehicle, towing or road-traffic rules.

12. Job Marketplace

Customers, dealerships and other businesses may post jobs through RecoBuddy.

Available jobs may include:

  • vehicle transport;

  • vehicle recovery;

  • auction collections;

  • dealership transfers;

  • garage movements;

  • customer deliveries;

  • non-runner transport;

  • fleet movements; and

  • other vehicle movement requirements.

Providers may choose which jobs they wish to consider.

Access to a job does not guarantee that the Provider’s quote will be accepted.

13. Submitting Quotes

Providers set their own prices.

Before submitting a quote, the Provider must review the available job information and consider factors such as:

  • collection location;

  • delivery location;

  • road distance;

  • vehicle type;

  • vehicle size and weight;

  • vehicle condition;

  • whether the vehicle runs;

  • loading requirements;

  • timing;

  • accessibility;

  • equipment required;

  • fuel;

  • tolls and road charges;

  • labour;

  • operating costs;

  • RecoBuddy commission; and

  • any other relevant cost.

By submitting a quote, the Provider confirms that, based on the information available, they are willing and able to complete the job for that amount subject to any clearly stated conditions.

14. Quote Accuracy

Quotes must be genuine, accurate and transparent.

Providers must not:

  • deliberately submit misleadingly low prices;

  • conceal mandatory charges;

  • submit a low quote intending to increase it after acceptance;

  • ask the customer to separately cover RecoBuddy commission;

  • misrepresent the equipment or service being offered; or

  • quote for a job the Provider is not capable of performing.

Unless otherwise clearly stated and agreed, the quote should represent the total amount expected from the customer for the described job.

15. Quote Acceptance and Formation of a Booking

A Provider submitting a quote does not create a confirmed booking.

The customer may decide whether to accept any quote.

When a customer accepts a Provider’s quote and completes any required payment or booking confirmation steps, a confirmed booking may be formed.

At that point, the Provider enters into a contract with the customer for the underlying transport or recovery service.

RecoBuddy facilitates the transaction but does not ordinarily become the supplier of the underlying transport or recovery service.

16. Business Customers

Jobs may be posted by commercial customers including:

  • car dealerships;

  • vehicle traders;

  • auctions;

  • garages;

  • bodyshops;

  • leasing businesses;

  • fleet operators;

  • insurers; and

  • other organisations.

Providers acknowledge that commercial customers may have operational requirements such as:

  • nominated contacts;

  • dealership opening hours;

  • auction collection processes;

  • site instructions;

  • proof-of-delivery requirements;

  • condition photographs;

  • reference numbers; and

  • invoice or transaction records.

Providers must comply with reasonable job-specific requirements communicated before or during a booking, provided those requirements do not materially change the agreed service without appropriate agreement.

17. Performing a Booking

Once a booking is confirmed, Providers must make reasonable efforts to complete it as agreed.

Providers must:

  • attend at the agreed time or within the agreed timeframe;

  • communicate material delays;

  • use appropriate vehicles and equipment;

  • load and secure vehicles safely;

  • comply with applicable law;

  • take reasonable care of the customer’s vehicle;

  • behave professionally;

  • provide accurate job updates;

  • follow reasonable collection and delivery instructions; and

  • complete any required collection or delivery process.

A Provider should not accept or continue a booking if completing it would be unsafe or unlawful.

18. Collection Checks and Vehicle Condition

Providers should inspect the vehicle at collection where reasonably possible.

RecoBuddy may require Providers to record:

  • photographs;

  • visible vehicle condition;

  • mileage;

  • keys received;

  • collection time;

  • collection location;

  • existing damage; and

  • other relevant information.

Providers should clearly record significant visible pre-existing damage before transporting a vehicle.

Where a vehicle materially differs from the description in the job listing, the Provider should raise the issue before loading where reasonably possible.

19. Vehicle Loading and Security

The Provider is responsible for safely loading, securing, transporting and unloading the vehicle.

Appropriate loading and restraint equipment must be used.

Providers must comply with applicable laws, manufacturer guidance and accepted safety standards relating to load security.

Providers must not knowingly transport a vehicle where the method of loading or restraint would be unsafe.

20. Delivery and Proof of Completion

RecoBuddy may require proof that a job has been completed.

Evidence may include:

  • delivery photographs;

  • electronic confirmation;

  • GPS or location records;

  • timestamps;

  • customer confirmation;

  • signatures;

  • status updates; or

  • a unique Delivery Code.

Providers must complete jobs honestly and must not falsely mark a vehicle as delivered.

21. 4-Digit Delivery Code

RecoBuddy may provide the customer with a unique 4-digit Delivery Code to confirm completion of a booking.

The Provider must only request or enter the Delivery Code when the vehicle has been delivered to the agreed delivery location and the service has been completed.

Providers must not:

  • ask the customer for the code in advance;

  • pressure the customer to provide the code before delivery;

  • attempt to guess the code;

  • obtain the code dishonestly; or

  • falsely enter completion information.

Where the customer cannot provide the code or there is a dispute at delivery, the Provider should contact RecoBuddy support rather than attempting to bypass the completion process.

Use of the Delivery Code may be used as evidence of completion but does not prevent RecoBuddy from investigating a legitimate dispute.

22. Payment Authorisation and Release

Customer payments may be authorised, reserved, held, captured or otherwise processed through RecoBuddy’s payment provider in accordance with the Commission & Payment Terms.

Provider payout may depend on successful completion of the job and completion confirmation, including a Delivery Code where applicable.

Providers should not treat a booking as privately payable merely because funds have not yet reached their bank account.

23. Provider Commission

RecoBuddy charges Providers a commission or platform fee for eligible jobs completed through RecoBuddy.

Unless another commission rate or commercial arrangement is displayed or agreed, RecoBuddy’s standard Provider commission is currently 20%.

The applicable commission may vary because of:

  • Provider account type;

  • promotional rates;

  • written commercial agreements;

  • special programmes; or

  • other arrangements expressly agreed with RecoBuddy.

The applicable commission will be communicated through the Provider account, platform, agreement or other applicable terms.

Commission is normally deducted from the Provider payout.

Providers are responsible for taking RecoBuddy’s commission into account when setting their quote.

RecoBuddy may change future commission rates by giving reasonable notice. Changes will not ordinarily alter the commission applying to a booking already confirmed before the change takes effect.

24. Payments and Stripe

RecoBuddy uses third-party payment providers, including Stripe, to support payments and Provider payouts.

Providers may be required to establish and maintain an eligible connected payment account.

Providers must provide accurate information required by the payment provider, which may include:

  • identity information;

  • business information;

  • banking information;

  • company details;

  • address;

  • date of birth;

  • tax information; and

  • other compliance information.

Payment providers may carry out their own verification and compliance checks.

RecoBuddy does not control bank processing times or all decisions made by payment providers.

25. Provider Payouts

Provider payouts are normally made after:

  • the booking has been completed;

  • completion has been properly confirmed;

  • customer payment has successfully processed;

  • required account verification has been completed; and

  • no legitimate hold or dispute prevents payout.

Payouts may be delayed because of:

  • verification;

  • payment processing;

  • customer complaints;

  • refunds;

  • chargebacks;

  • fraud checks;

  • insurance or documentation concerns;

  • disputed completion; or

  • payment-provider restrictions.

Further rules are contained in RecoBuddy’s Commission & Payment Terms.

26. No Cash or Off-Platform Payment

Unless expressly authorised by RecoBuddy, payment for RecoBuddy-originated bookings must remain through RecoBuddy.

Providers must not:

  • ask a customer to cancel and pay privately;

  • request cash instead of platform payment;

  • request bank transfer for a RecoBuddy booking;

  • move an accepted RecoBuddy booking off-platform to avoid fees;

  • falsely report that a job was cancelled when it was completed; or

  • otherwise seek to avoid commission due to RecoBuddy.

27. Non-Circumvention

Providers must not use RecoBuddy primarily to obtain customer contact details and then deliberately divert RecoBuddy-originated work away from the platform to avoid commission or platform rules.

Providers and customers may of course exchange contact information where reasonably required to perform a legitimate RecoBuddy booking.

This provision does not prevent Providers from conducting independently sourced business that did not arise through RecoBuddy.

Where RecoBuddy reasonably believes deliberate circumvention has occurred, it may take appropriate action including account restriction, suspension or recovery of commission properly due.

28. Additional Charges

A Provider may request an additional charge where the actual job materially differs from the information supplied.

Examples may include:

  • vehicle listed as running but is a non-runner;

  • keys unavailable;

  • vehicle inaccessible;

  • winching required;

  • vehicle substantially larger or heavier than described;

  • incorrect addresses;

  • significant additional mileage;

  • unexpected specialist equipment;

  • significant waiting time; or

  • material changes requested by the customer.

Additional charges must be reasonable and clearly explained.

Where reasonably possible, the customer should agree to the additional charge through RecoBuddy before the Provider performs the additional work.

Providers must not use additional charges as a way to increase an intentionally understated quote.

29. Waiting Time

Providers may request reasonable waiting-time charges where substantial delay is caused by circumstances outside the Provider’s control.

This may include delays caused by:

  • customer absence;

  • unavailable keys;

  • blocked vehicles;

  • incorrect information;

  • restricted access;

  • auctions;

  • compounds;

  • garages;

  • dealerships; or

  • unavailable delivery contacts.

Providers may be required to provide evidence of arrival time, location and duration of the delay.

Any waiting-time charge must comply with the Commission & Payment Terms.

30. Provider Cancellations

Providers should only quote for and proceed with jobs they reasonably expect to be able to complete.

If a Provider needs to cancel a confirmed booking, they must notify RecoBuddy and the customer as soon as reasonably possible.

Repeated, avoidable or last-minute Provider cancellations may result in:

  • warnings;

  • reduced platform visibility;

  • temporary restrictions;

  • removal from bookings;

  • account review;

  • suspension; or

  • termination.

RecoBuddy will take relevant circumstances into account, including genuine emergencies and circumstances outside the Provider’s reasonable control.

31. Customer Cancellations and No-Shows

Where a customer cancels, fails to attend, fails to provide keys or access, or otherwise prevents completion, the Provider may be entitled to a cancellation fee, waiting-time charge or partial payout in accordance with RecoBuddy’s applicable policies.

The Provider may be required to provide evidence including:

  • arrival time;

  • GPS or location information;

  • photographs;

  • messages;

  • call records;

  • waiting time; and

  • other relevant information.

32. Accidents, Damage and Incidents

Providers must promptly notify RecoBuddy of any serious incident connected with a RecoBuddy booking, including where appropriate:

  • collision;

  • alleged vehicle damage;

  • loss;

  • theft;

  • serious breakdown;

  • injury;

  • roadside safety incident; or

  • involvement of police or emergency services.

Providers should preserve relevant evidence and cooperate with any reasonable investigation.

Nothing in these Provider Terms replaces the Provider’s obligations to report an incident to insurers, police, regulators or other authorities where required.

33. Responsibility for Vehicles

Providers are responsible for exercising reasonable care and skill while a customer’s vehicle is in their custody or control.

Responsibility for loss or damage will depend on matters including:

  • the circumstances;

  • pre-existing condition;

  • applicable law;

  • the Provider’s contract with the customer;

  • negligence;

  • insurance coverage; and

  • any actions of the customer or other parties.

Providers remain responsible for claims arising from their own negligence, breach of contract or unlawful acts to the extent provided by law.

RecoBuddy is not the Provider’s insurer.

34. Roadside Safety

Providers must prioritise safety when performing recovery work.

Providers should not carry out roadside loading, recovery or other activity where they reasonably believe the circumstances are unsafe or beyond their equipment, competence or legal authority.

Where there is an immediate danger to life or road users, the appropriate emergency or highway authority should be contacted.

35. Employees, Drivers and Subcontractors

Where a Provider operates a transport or recovery business with employees, drivers or subcontractors, the Provider remains responsible for ensuring that anybody performing a RecoBuddy booking on its behalf:

  • has the appropriate driving entitlement;

  • is properly insured;

  • is competent;

  • operates suitable equipment;

  • meets applicable legal requirements; and

  • complies with these Provider Terms.

Where RecoBuddy requires individuals performing jobs to be separately registered or verified, the Provider must comply with that requirement.

Providers must not knowingly pass a booking to an unqualified or uninsured third party.

36. Provider Conduct

Providers must treat customers, businesses, RecoBuddy staff and other platform users professionally.

Providers must not:

  • threaten or intimidate another user;

  • engage in harassment;

  • discriminate unlawfully;

  • use abusive or offensive language;

  • behave dishonestly;

  • misuse customer property;

  • deliberately damage a vehicle;

  • engage in violence or dangerous behaviour; or

  • use RecoBuddy for unlawful activity.

Serious misconduct may result in immediate suspension or termination.

37. Communications

Providers may receive customer contact information and use RecoBuddy messaging or telephone functionality to complete bookings.

Communications should relate to legitimate booking or service requirements.

Providers must not use platform communications for:

  • spam;

  • harassment;

  • scams;

  • misleading promotions;

  • payment circumvention;

  • unlawful marketing; or

  • other improper purposes.

RecoBuddy may review in-platform communications where reasonably necessary for customer support, safety, dispute resolution, fraud prevention, compliance or anti-circumvention purposes in accordance with its Privacy Policy.

38. Location and Tracking

Where Providers enable location functionality, RecoBuddy may use location information to provide features including:

  • live job tracking;

  • arrival information;

  • route information;

  • collection or delivery confirmation;

  • fraud prevention;

  • safety;

  • payment dispute evidence; and

  • platform functionality.

Providers must only enable or provide location information in accordance with applicable law and RecoBuddy’s Privacy Policy.

Providers must not falsify their location or tracking information.

39. Reviews and Ratings

Customers may leave ratings or reviews following genuine RecoBuddy experiences.

Providers must not:

  • submit fake reviews;

  • create false customer accounts to leave reviews;

  • purchase reviews;

  • arrange misleading reviews;

  • pressure customers to leave positive reviews;

  • threaten customers over reviews; or

  • offer an incentive that is conditional upon the customer leaving a positive review.

Providers may reasonably invite customers to leave genuine feedback.

RecoBuddy may investigate or remove reviews that appear fraudulent, unlawful, irrelevant or otherwise contrary to its review rules.

40. Performance and Quality Monitoring

RecoBuddy may review Provider performance using information such as:

  • completion rates;

  • cancellation rates;

  • customer complaints;

  • ratings;

  • response times;

  • documentation;

  • safety incidents;

  • dispute rates;

  • chargebacks; and

  • compliance history.

Performance information may be used to operate the marketplace, investigate concerns and protect users.

RecoBuddy does not guarantee that any particular performance metric will result in more jobs.

41. Customer Personal Data

Providers may receive customer personal information necessary to perform a booking.

Providers must:

  • use personal information only for lawful purposes;

  • protect it appropriately;

  • not sell customer information;

  • not disclose it unnecessarily;

  • not use it for unrelated marketing without a lawful basis;

  • not retain it longer than necessary; and

  • comply with applicable data protection legislation.

A Provider may have its own independent obligations under UK data protection law in relation to information it controls or processes.

The Provider is responsible for understanding and complying with those obligations.

42. Confidential and Commercial Information

Providers must not misuse confidential information obtained through RecoBuddy.

This may include:

  • customer data;

  • business information;

  • pricing information;

  • unpublished job information;

  • platform information;

  • access credentials; and

  • other confidential information.

This does not prevent disclosure required by law.

43. Fraud and Platform Misuse

Providers must not:

  • create fake jobs;

  • create fake accounts;

  • manipulate quotes;

  • coordinate fraudulent pricing;

  • submit false documentation;

  • falsify insurance;

  • fabricate job completion;

  • make fraudulent damage claims;

  • abuse chargebacks;

  • falsify GPS information;

  • misuse Delivery Codes;

  • manipulate reviews;

  • access another user’s account without permission; or

  • use the platform for criminal activity.

Suspected criminal or fraudulent activity may be reported to payment providers, insurers, regulators, police or other appropriate authorities where lawful and appropriate.

44. Taxes and VAT

Providers are responsible for their own tax affairs.

This includes, where applicable:

  • Income Tax;

  • Corporation Tax;

  • VAT;

  • National Insurance;

  • business expenses;

  • accounting records; and

  • other tax obligations.

Providers who are VAT registered must ensure that the information they provide to RecoBuddy is accurate and that VAT is accounted for correctly.

Providers must promptly inform RecoBuddy if their VAT status changes where this is relevant to platform invoicing.

RecoBuddy does not provide tax advice.

45. Invoices and Records

RecoBuddy may generate invoices, transaction records, payout statements or other documentation relating to bookings.

Where the Provider is the supplier of the underlying transport or recovery service, documentation generated through RecoBuddy may be generated on the Provider’s behalf.

Providers remain responsible for ensuring information they supply for invoices and tax records is accurate.

Providers should retain any business and tax records they are legally required to keep.

46. Chargebacks and Payment Disputes

Where a customer disputes a payment, RecoBuddy may investigate and submit relevant information to the payment provider.

Evidence may include:

  • booking information;

  • accepted quote;

  • communications;

  • tracking;

  • photographs;

  • collection information;

  • Delivery Code records;

  • delivery evidence; and

  • other platform records.

Providers must cooperate with reasonable payment-dispute investigations.

Where a chargeback or refund results from the Provider’s breach, failure or wrongdoing, RecoBuddy may recover the relevant amount from the Provider to the extent permitted by the applicable terms and law.

47. Payment Holds and Deductions

RecoBuddy may temporarily hold or adjust Provider payouts where reasonably necessary in circumstances including:

  • customer disputes;

  • suspected fraud;

  • chargeback risk;

  • incomplete verification;

  • insurance concerns;

  • damage claims;

  • cancellation disputes;

  • suspected off-platform arrangements;

  • payment-provider instructions; or

  • breach of these Provider Terms.

Any deduction must be permitted by these Provider Terms, the Commission & Payment Terms, another applicable agreement or law.

48. Provider Operating Costs

Providers are responsible for their own business expenses, including where relevant:

  • vehicles;

  • fuel;

  • charging;

  • insurance;

  • equipment;

  • maintenance;

  • repairs;

  • tyres;

  • staff;

  • subcontractors;

  • licences;

  • permits;

  • tax;

  • tolls;

  • clean-air or congestion charges;

  • parking; and

  • other operating costs.

Providers should account for expected costs when deciding the price they wish to quote.

49. No Guarantee of Work or Income

RecoBuddy does not guarantee:

  • any minimum number of jobs;

  • continuous job availability;

  • acceptance of any quote;

  • any particular level of earnings;

  • any minimum hourly or daily income;

  • any particular geographic coverage; or

  • that customers will select a particular Provider.

Provider earnings depend on marketplace activity, customer demand, quotes, location, availability and other factors.

50. Account Suspension and Restrictions

RecoBuddy may restrict or suspend a Provider account where reasonably necessary, including where:

  • required documents expire;

  • verification cannot be completed;

  • insurance concerns arise;

  • serious complaints are received;

  • safety concerns arise;

  • fraudulent activity is suspected;

  • off-platform circumvention is suspected;

  • chargeback or payment risk arises;

  • Provider cancellations become excessive;

  • false information is supplied;

  • regulatory compliance concerns arise; or

  • these Provider Terms are breached.

Restrictions may include:

  • preventing quotes;

  • removing access to jobs;

  • pausing payouts where lawful;

  • removing active bookings;

  • requiring additional verification; or

  • temporarily disabling the account.

Where appropriate, RecoBuddy may give the Provider an opportunity to provide information or correct the issue.

Immediate restriction may occur where safety, legal, fraud or financial risk reasonably requires it.

51. Account Termination

RecoBuddy may terminate Provider access for serious or repeated breaches, including:

  • fraud;

  • falsified documents;

  • serious safety misconduct;

  • deliberate off-platform circumvention;

  • operating without required insurance;

  • serious customer misconduct;

  • repeated unresolved complaints;

  • illegal activity; or

  • repeated material breach of these Terms.

A Provider may stop using RecoBuddy at any time, subject to completing or appropriately resolving existing bookings, payments and disputes.

Termination does not remove obligations or liabilities arising before termination.

52. Appeals and Account Reviews

Where a Provider believes an account restriction or suspension has been applied incorrectly, they may contact RecoBuddy support and provide relevant evidence.

RecoBuddy may review the decision.

Nothing in this section requires RecoBuddy to restore an account where it reasonably determines that continued access would create a legal, safety, fraud or material platform risk.

53. Platform Availability

RecoBuddy aims to provide a reliable platform but cannot guarantee continuous availability.

Temporary disruption may occur because of:

  • maintenance;

  • software changes;

  • third-party outages;

  • payment-provider outages;

  • internet or mobile network failures;

  • cyber incidents; or

  • circumstances outside RecoBuddy’s reasonable control.

RecoBuddy is not responsible for Provider business losses merely because jobs or platform features are temporarily unavailable, except to the extent liability cannot lawfully be excluded.

54. Third-Party Services

RecoBuddy may rely on third-party services including:

  • Stripe;

  • mapping services;

  • cloud providers;

  • notification systems;

  • communication providers;

  • identity-verification services; and

  • analytics services.

Providers may also be subject to the applicable terms of those third parties.

RecoBuddy is not responsible for acts or failures of third parties outside RecoBuddy’s reasonable control.

55. Intellectual Property

RecoBuddy owns or licenses the rights in the RecoBuddy platform, including its:

  • software;

  • website;

  • mobile application;

  • branding;

  • logos;

  • graphics;

  • databases;

  • interface; and

  • proprietary content.

Providers must not use RecoBuddy branding in a way that suggests they are:

  • employed by RecoBuddy;

  • owned by RecoBuddy;

  • RecoBuddy’s exclusive transport provider; or

  • otherwise formally affiliated beyond being an independent Provider on the marketplace.

RecoBuddy branding may not be reproduced or commercially used without permission.

56. Provider Content

Providers may upload information such as:

  • profile photographs;

  • company information;

  • vehicle photographs;

  • documents; and

  • profile descriptions.

The Provider retains ownership of content they own.

The Provider grants RecoBuddy permission to use and display that content to the extent reasonably necessary to operate, promote and administer the marketplace and Provider profile.

The Provider confirms that they have the necessary rights to any content they upload.

57. RecoBuddy’s Responsibility

RecoBuddy is responsible for operating the marketplace services it provides with reasonable care and skill.

RecoBuddy is not ordinarily responsible for the underlying transport or recovery service performed by an independent Provider.

To the fullest extent permitted by law, RecoBuddy will not be responsible to a Provider for:

  • failure to win work;

  • loss of expected business;

  • lost profits;

  • lost opportunities;

  • decisions made by customers;

  • customer conduct outside RecoBuddy’s control;

  • service failures caused by third-party technology; or

  • indirect or consequential business loss.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence where applicable.

58. Provider Responsibility

Providers remain responsible for the services they perform.

A Provider may be responsible for losses, costs or claims arising from their:

  • negligence;

  • unsafe operation;

  • breach of these Provider Terms;

  • breach of the transport contract;

  • lack of required insurance;

  • regulatory non-compliance;

  • unlawful conduct;

  • misuse of personal information; or

  • fraud.

This section does not make the Provider liable for matters caused solely by RecoBuddy or another party.

59. Indemnity

To the extent permitted by law, the Provider will indemnify RecoBuddy against reasonable third-party claims, losses, liabilities and costs to the extent they arise directly from:

  • the Provider’s negligent performance of a service;

  • the Provider’s unlawful acts;

  • the Provider’s material breach of these Provider Terms;

  • damage caused by the Provider;

  • the Provider’s infringement of third-party rights; or

  • fraud by the Provider.

This indemnity does not apply to the extent that the loss was caused by RecoBuddy’s own negligence or breach.

60. Complaints and Investigations

RecoBuddy may investigate complaints involving Providers.

Providers must reasonably cooperate and may be asked to provide:

  • photographs;

  • messages;

  • tracking information;

  • insurance information;

  • proof of delivery;

  • job documentation;

  • invoices;

  • incident information; or

  • other relevant evidence.

RecoBuddy may facilitate communication between a Provider and customer but does not guarantee resolution of an underlying transport dispute.

61. Platform Records

RecoBuddy may use platform information when investigating bookings, complaints, payments, cancellations, safety issues or suspected misuse.

This may include:

  • quotes;

  • booking records;

  • messages;

  • photographs;

  • location data;

  • Delivery Code records;

  • payment records;

  • support communications;

  • documentation;

  • timestamps; and

  • account activity.

Platform records may be considered alongside other evidence and are not necessarily conclusive in every dispute.

62. Changes to the Platform

RecoBuddy may develop or change the platform over time.

Changes may include:

  • quoting functionality;

  • verification;

  • payment processes;

  • commission arrangements;

  • tracking;

  • job visibility;

  • Provider profiles;

  • business features; and

  • other functionality.

No particular platform feature is guaranteed to remain available indefinitely.

63. Changes to These Provider Terms

RecoBuddy may update these Provider Terms from time to time.

Where a change materially affects Provider rights, obligations or fees, RecoBuddy will aim to provide reasonable notice through:

  • email;

  • the app;

  • the website;

  • the Provider dashboard; or

  • another appropriate method.

Updated terms will apply from the stated effective date.

Existing confirmed bookings will normally remain subject to the commercial terms applicable when the booking was confirmed unless:

  • required by law;

  • required by a payment provider;

  • necessary to address fraud or safety; or

  • otherwise agreed.

Continued use of RecoBuddy after revised Terms take effect may constitute acceptance of the revised Terms.

64. Electronic Communications

Providers agree that RecoBuddy may send contractual, operational and account communications electronically.

These may include communications relating to:

  • verification;

  • bookings;

  • documents;

  • payments;

  • payouts;

  • disputes;

  • policy updates;

  • account status; and

  • changes to these Terms.

Providers are responsible for maintaining an accurate email address and telephone number.

65. Assignment

Providers may not transfer their RecoBuddy account or rights under these Provider Terms to another person or business without RecoBuddy’s written permission.

RecoBuddy may transfer its rights and obligations as part of a legitimate corporate restructuring, group reorganisation, merger, acquisition or sale of the RecoBuddy business, provided applicable legal requirements are observed.

66. Entire Agreement

These Provider Terms, together with RecoBuddy’s applicable Terms of Use, Commission & Payment Terms and other incorporated policies, form the agreement between RecoBuddy and the Provider concerning use of the marketplace.

They do not replace the separate transport or recovery contract formed between the Provider and the customer for an individual booking.

67. Severability

If any provision of these Provider Terms is found to be invalid or unenforceable, the remainder will continue in effect.

Where possible, an invalid provision should be interpreted or adjusted only to the minimum extent necessary to make it enforceable.

68. No Waiver

If RecoBuddy does not immediately enforce a right under these Provider Terms, this does not mean that RecoBuddy has waived that right.

69. Third-Party Rights

Except where expressly stated otherwise, a person who is not a party to these Provider Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.

70. Governing Law and Jurisdiction

These Provider Terms are governed by the laws of England and Wales.

Subject to any mandatory legal rights that apply, disputes between RecoBuddy and a Provider relating to these Provider Terms will be subject to the jurisdiction of the courts of England and Wales.
